General Terms and Conditions
1. Scope and Contracting Parties
1.1 These General Terms and Conditions (“Terms”) apply to courses and other educational activities provided by Scandinavian Aeromedical Academy (“the Academy”).
1.2 The Academy’s courses are intended for licensed medical doctors and other healthcare professionals participating in connection with their professional activities. Registrations are therefore accepted on a business-to-business (“B2B”) basis only.
1.3 These Terms form part of the agreement between the Academy and the participant. In the event of any inconsistency between these Terms and specific written terms stated in a course offer or registration confirmation, the specific written terms shall prevail.
1.4 No statutory consumer right of withdrawal applies where the participant enters into the agreement as part of his or her professional activity.
1.5 Any amendment to an individual agreement must be agreed in writing or by electronic communication.
2. Courses and Regulatory Framework
2.1 The Academy provides education and training in aviation medicine, including courses intended to satisfy applicable theoretical and practical training requirements under European aviation medicine regulations.
2.2 Courses offered as Basic or Advanced Training Courses for Aero-Medical Examiners (“AMEs”) are provided in accordance with the applicable requirements of EASA Part-MED and associated Acceptable Means of Compliance and Guidance Material and are subject to approval by the competent authority where such approval is required.
2.3 Regulatory requirements may be amended from time to time. The Academy may make reasonable changes to the programme, syllabus, teaching methods or assessment procedures where necessary to maintain regulatory compliance or course approval.
2.4 Successful completion of a course does not in itself constitute appointment or certification as an AME or confer any regulatory privilege upon the participant.
2.5 Participants are responsible for establishing whether they satisfy the professional, licensing and other requirements imposed by the competent authority to which they intend to apply. Such requirements may differ between EASA Member States.
3. Eligibility and Registration
3.1 Unless otherwise stated for a particular course, participation in an AME Basic or Advanced Training Course requires a medical degree and legal entitlement to practice medicine.
3.2 The Academy may request documentation of the participant’s medical qualification, professional authorization, existing AME privileges or other qualifications relevant to the course.
3.3 Registration shall be made using the registration procedure specified by the Academy, including registration through www.aeromedical.academy.
3.4 Submission of a registration constitutes an application to participate in the course. A binding agreement is formed when the Academy issues written confirmation of the participant’s registration.
3.5 Registrations may be accepted in the order received. Where a course has reached its maximum capacity, the Academy may offer the applicant a place on a waiting list.
3.6 The Academy may refuse an application where the applicant does not satisfy the stated entry requirements or where participation would otherwise be incompatible with regulatory or safety requirements.
4. Course Fees and Included Services
4.1 The applicable course fee is the fee stated in the course description, registration material or individual offer.
4.2 Unless otherwise stated, the course fee includes:
- Tuition and instruction;
- Course materials;
- Use of teaching and conference facilities;
- Scheduled practical training and demonstrations forming part of the programme;
- Refreshments during scheduled breaks; and
- Lunch on scheduled course days.
4.3 Travel, accommodation, evening meals, personal insurance and other personal expenses are not included unless expressly stated.
4.4 Prices are stated inclusive of VAT where VAT is applicable. Where a course or educational service is exempt from VAT under applicable Danish law, no VAT will be charged.
5. Payment
5.1 The course fee is payable within 14 days from the date of the invoice unless another payment deadline is stated on the invoice.
5.2 Payment shall be made by bank transfer or another payment method expressly accepted by the Academy.
5.3 Payment is considered received when the amount has been credited to the account designated by the Academy.
5.4 In the event of late payment, the Academy may charge interest and recovery costs in accordance with applicable Danish law.
5.5 The Academy may suspend or refuse participation until all amounts due have been paid.
5.6 Failure to pay does not in itself constitute cancellation of a registration. A participant wishing to cancel must do so in accordance with Section 6.
6. Cancellation by the Participant
6.1 A confirmed registration is binding. However, the Academy permits cancellation subject to the conditions set out below.
6.2 Cancellation received more than three months before the first scheduled day of the course is free of charge, and any course fee already paid, minus an administration fee, will be refunded.
6.3 Where cancellation is received three months or less before the first scheduled course date, 25% of the course fee is payable.
6.4 Once the course has commenced, the full course fee remains payable. Non-attendance, late arrival, early departure or absence during the course, including absence due to illness, does not entitle the participant to a refund or reduction of the course fee.
6.5 Cancellation must be submitted by email or other written electronic communication to the Academy. The time at which the cancellation is received by the Academy determines the applicable cancellation charge.
6.6 A participant may not transfer a confirmed place to another person without the Academy’s prior written approval.
6.7 Participants are encouraged to obtain appropriate travel and course cancellation insurance.
7. Changes to the Program
7.1 The Academy may make reasonable changes to the timetable, sequence of teaching, instructors, practical activities, teaching methods or individual elements of the program where this does not materially alter the overall nature, educational purpose or regulatory compliance of the course.
7.2 The Academy may replace an instructor where necessary, including due to illness, operational requirements or other circumstances affecting the instructor’s availability.
7.3 The Academy may make changes required by the competent aviation authority, amendments to applicable EASA requirements or other regulatory requirements.
7.4 Minor program changes do not entitle the participant to cancel the agreement or claim compensation.
8. Change of Venue
8.1 The Academy may change the course venue where reasonably necessary.
8.2 Where practicable, a replacement venue will be within a reasonable geographical distance of the originally announced venue.
8.3 Participants will be informed of any material change of venue as soon as reasonably practicable.
9. Postponement or Cancellation by the Academy
9.1 The Academy may postpone or cancel a course where it cannot reasonably be conducted as planned, including because of:
- Insufficient enrolment;
- Unavailability of essential teaching personnel;
- Loss or unavailability of the course venue;
- Loss, suspension or material alteration of regulatory approval;
- Restrictions or requirements imposed by a competent authority; or
- Force majeure as described in Section 10.
9.2 Where a course is postponed, the participant’s registration and any course fee already paid will automatically be transferred to the replacement course date.
9.3 If the replacement date is not reasonably acceptable to the participant, the participant may cancel the registration and receive a full refund of the course fee paid.
9.4 Where the Academy cancels a course without offering a replacement course, course fees already paid will be refunded in full.
9.5 Except where otherwise required by mandatory law, refund of the course fee constitutes the Academy’s financial obligation in respect of cancellation or postponement.
9.6 The Academy is not responsible for separate expenditure incurred by the participant in connection with the course, including travel, accommodation, visas, loss of earnings or similar consequential expenditure, except to the extent that liability cannot lawfully be excluded.
9.7 Participants are therefore advised to use flexible or refundable travel and accommodation arrangements where reasonably possible.
10. Force Majeure
10.1 Neither party shall be liable for failure or delay in performing an obligation where performance is prevented or materially impeded by circumstances beyond that party’s reasonable control, which could not reasonably have been foreseen, prevented or overcome.
10.2 Such circumstances may include, depending on the circumstances:
- War, armed conflict, terrorism or civil unrest;
- Natural disasters or extreme weather;
- Epidemic or pandemic;
- Fire or major damage to essential facilities;
- Widespread failure of essential infrastructure or IT systems;
- Industrial action not caused by the affected party;
- Closure or material restriction of airports or transport infrastructure;
- Orders, restrictions or prohibitions imposed by public authorities; and
- Other comparable circumstances outside the reasonable control of the affected party.
10.3 The Academy shall inform affected participants without undue delay where a force majeure event materially affects the course.
10.4 Where reasonably possible, the Academy may respond to a force majeure event by rescheduling, relocating or modifying the method of delivery of the affected part of the course, provided that the regulatory and educational requirements of the course can still be satisfied.
10.5 If the course is ultimately cancelled, Sections 9.4–9.6 shall apply.
11. Attendance, Conduct and Safety
11.1 Participants must comply with reasonable instructions issued by the Academy, instructors and personnel at facilities visited as part of the course.
11.2 Participants must comply with applicable safety and security requirements at airports, training facilities, aircraft, simulators and other partner facilities.
11.3 The Academy may exclude a participant from an activity or from the remainder of the course where the participant:
- Is under the influence of alcohol, intoxicating drugs or other substances to an extent incompatible with safe participation;
- Materially or repeatedly disregards safety or security instructions;
- Behaves in a manner that creates a material safety risk to the participant or others; or
- Seriously disrupts the course despite a reasonable request to cease such conduct.
11.4 Where exclusion results from circumstances attributable to the participant, the participant is not entitled to a refund of the course fee.
12. Attendance, Examination and Certificate of Completion
12.1 Participants are responsible for attending the teaching, practical training and other mandatory activities required for successful completion of the relevant course.
12.2 Where required under the applicable EASA training requirements, the course will conclude with an examination or other assessment covering the relevant course content.
12.3 A certificate of successful completion will be issued only where the participant has satisfied the applicable attendance requirements and successfully completed the required examination or assessment.
12.4 The certificate confirms successful completion of the relevant training course. It does not itself constitute an AME certificate, license, authorization or appointment by a competent authority.
12.5 The Academy may provide information concerning the regulatory status or recognition of its courses based on information available from the competent authority. Regulatory recognition and requirements remain subject to decisions and changes made by the relevant authority.
13. AME Training and Regulatory Privileges
13.1 The Basic Training Course is intended to satisfy the applicable EASA training requirements for applicants seeking initial AME certification with privileges relating to Class 2 medical certification, subject to the applicable requirements and approval of the competent authority.
13.2 Successful completion of the Basic Training Course does not guarantee subsequent certification or appointment as an AME.
13.3 Participants seeking extension of AME privileges to include Class 1 medical certification must satisfy the additional requirements prescribed by EASA Part-MED and the competent authority, including the applicable Advanced Training Course and any required practical training.
13.4 Requirements relating to aero-medical certification of air traffic controllers are governed by the applicable regulatory framework for ATCO medical certification and may require additional or specific training.
13.5 Participants intending to use a course towards AME certification or extension of privileges in a particular EASA Member State are responsible for confirming any additional national requirements with the relevant competent authority.
14. Practical Activities, Flight Experience and Cabin Training
14.1 Certain courses may include practical activities such as flight experience in light aircraft, simulator activities, cabin safety or emergency training, visits to operational aviation facilities or similar activities.
14.2 Flight experience offered in connection with a course is an ancillary practical activity and is not a prerequisite for successful completion of the course unless expressly stated otherwise.
14.3 Participation in flight experience and other non-mandatory practical aviation activities is voluntary and at the participant’s own risk. A participant may decline to take part in a voluntary activity without affecting successful completion of the course.
14.4 Flight activities may be conducted by independent aircraft owners, pilots, operators, flying clubs, training organisations or other third-party providers. Responsibility for the operation of the aircraft, including all operational and flight-safety decisions, rests with the pilot-in-command and, where applicable, the aircraft operator.
14.5 Aircraft operations are conducted subject to the insurance arrangements applicable to the aircraft and its operation. The Academy does not provide separate personal accident, travel, aviation or other insurance covering individual participants in connection with flight experience or other practical aviation activities.
14.6 Participants are responsible for obtaining any personal accident, travel, aviation or other insurance they consider necessary or appropriate and are advised to verify before participating that their own insurance provides adequate cover for the relevant activity.
14.7 Participants are responsible for determining whether they are physically and otherwise fit to participate in a voluntary practical activity and must comply with all instructions given by the pilot-in-command, operator, instructor or other person responsible for the activity.
14.8 To the extent permitted by applicable law, the Academy accepts no liability for risks inherent in voluntary flight activities or for loss, injury or damage arising from acts or omissions of an independent aircraft operator, aircraft owner, pilot or other third-party provider for whom the Academy is not legally responsible.
14.9 Nothing in these Terms excludes or limits liability which cannot lawfully be excluded or limited under Danish law, including liability arising from the Academy’s own wilful misconduct or gross negligence.
14.10 A flight or other practical activity may be cancelled, postponed, shortened, substituted or modified at any time for operational, meteorological, technical, regulatory or safety reasons.
14.11 Cancellation or modification of an ancillary practical activity does not in itself entitle the participant to a refund or reduction of the course fee, provided that the principal educational and regulatory requirements of the course are otherwise fulfilled.
15. Liability
15.1 The Academy is liable in accordance with the general rules of Danish law, subject to the limitations set out in these Terms.
15.2 To the extent permitted by applicable law, the Academy shall not be liable for indirect or consequential loss, including loss of income, loss of profit, loss of business opportunity or expenses relating to travel or accommodation.
15.3 The Academy shall not be liable for acts or omissions of independent third-party providers except to the extent that the Academy is legally responsible for such acts or omissions.
15.4 Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by mandatory law, including liability arising from the Academy’s own wilful misconduct or gross negligence or liability for personal injury where such liability cannot lawfully be excluded or limited.
16. Intellectual Property and Course Materials
16.1 Copyright and all other intellectual property rights in course materials remain with the Academy, the relevant instructor or other identified rights holder.
16.2 Participants are granted a personal, non-exclusive and non-transferable right to use materials supplied to them for their own professional and educational purposes.
16.3 Course materials may not, without prior permission from the relevant rights holder, be:
- Reproduced or distributed to third parties;
- Published or made publicly available;
- Uploaded to websites, social media, file-sharing services or other platforms;
- Sold, sublicensed or otherwise commercially exploited; or
- Materially adapted for redistribution.
16.4 Nothing in these Terms restricts use expressly permitted under applicable copyright law.
16.5 Photography and audio or video recording during teaching sessions or practical activities is not permitted without the prior consent of the Academy and, where applicable, the instructor and other persons concerned.
17. Personal Data
17.1 The Academy processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (“GDPR”) and applicable Danish data protection law.
17.2 Personal data may be processed for purposes including registration, administration, payment, communication, documentation of attendance, examinations, certification and compliance with regulatory requirements.
17.3 Further information concerning the processing of personal data is provided in the Academy’s Privacy Notice.
18. Regulatory Changes, Approval and Accreditation
18.1 Any statement concerning approval, accreditation, continuing professional development credits or regulatory recognition of a course reflects the status known to the Academy at the relevant time.
18.2 The Academy cannot guarantee that a competent authority, medical association or other regulatory body will not subsequently amend its requirements, recognition criteria or credit system.
18.3 Where the Academy becomes aware before commencement of a course of a material change affecting its regulatory status, registered participants will be informed without undue delay.
19. Complaints
19.1 Any complaint concerning a course should be submitted to the Academy in writing as soon as reasonably practicable after the matter giving rise to the complaint becomes known.
19.2 The Academy and the participant shall seek to resolve any dispute in good faith before commencing legal proceedings.
20. Governing Law and Jurisdiction
20.1 The agreement between the Academy and the participant, including these Terms, is governed by Danish law.
20.2 Any dispute arising out of or in connection with the agreement, which cannot be resolved amicably, shall be subject to the jurisdiction of the Danish courts.
20.3 The Danish court having territorial jurisdiction over the Academy’s registered office shall be the agreed court of first instance; to the extent such agreement is permitted under applicable law.
21. Severability
21.1 If any provision of these Terms is held to be invalid, unlawful or unenforceable, this shall not affect the validity or enforceability of the remaining provisions.
21.2 Where appropriate, the invalid provision shall, to the extent legally permissible, be replaced by a valid provision that most closely reflects its intended commercial purpose.
22. Contractual Documents and Applicable Version
22.1 The participant’s registration confirmation, any specific written course conditions and these Terms constitute the contractual basis for participation.
22.2 The version of these Terms applicable to a registration is the version in force when the participant’s registration is confirmed.
22.3 Subsequent amendments to the Academy’s general Terms do not alter an existing confirmed agreement unless required by applicable law or expressly agreed between the Academy and the participant.
